5 Description of Services
Kahunas provides software and technology services through the Kahunas Platform, enabling Business Users to manage clients, deliver programmes, communicate with users, analyse information, access AI-powered tools, and administer their business operations. Services may include client management, messaging, scheduling, forms, content delivery, progress tracking, health monitoring, wearable integrations, reporting and analytics, AI-powered features, mobile and desktop applications, payment integrations, and other functionality made available from time to time.
The Services may evolve. Kahunas reserves the right to add, modify, suspend, discontinue, or replace features at any time without obligation to maintain any specific functionality unless expressly agreed in writing.
6 Kahunas is a Technology Platform
Kahunas provides software and technology services only through the Kahunas Platform. Kahunas does not provide personal training, coaching, fitness, nutrition, healthcare, medical advice or treatment, therapy, rehabilitation, counselling, or any clinical or professional healthcare services.
Business Users remain solely responsible for all advice, recommendations, programmes, communications, assessments, interventions, and services they provide to Clients. Kahunas does not supervise, direct, monitor, control, endorse, or assume responsibility for services delivered by Business Users.
7 Relationship Between Business Users and Clients
Business Users and their Clients enter into separate and independent relationships. Kahunas is not a party to any agreement between a Business User and a Client. Business Users are solely responsible for determining service offerings and pricing, collecting payments, providing services, obtaining informed consent, responding to complaints, maintaining records, and complying with all applicable professional obligations, consumer protection laws, healthcare regulations, and privacy laws.
Business Users must maintain appropriate client-facing terms, privacy notices, informed consent documents, waivers, and disclosures where required by law. Kahunas shall have no liability arising from disputes between Business Users and Clients.
8 Professional Responsibilities
Business Users represent and warrant that they:
- Possess all licences, qualifications, registrations, certifications, permits, and authorisations required
- Maintain all such qualifications where required
- Comply with all applicable laws, regulations, and professional standards
- Provide services competently and responsibly
- Do not misrepresent qualifications, experience, or credentials
Kahunas does not verify qualifications and assumes no responsibility for verifying the competence, credentials, or suitability of Business Users.
9 Account Registration
To access certain features you must create an Account. You agree to provide accurate registration information and maintain its accuracy, keep credentials confidential, notify Kahunas of any unauthorised access, and accept responsibility for all activities occurring under your Account. Kahunas may suspend, restrict, or terminate accounts that violate these Terms.
10 Account Ownership
The individual or legal entity purchasing the subscription shall be the Account Owner, controlling subscription management, billing, user permissions, authorised user access, client access, administrative settings, and account ownership rights. Kahunas may require documentation to verify ownership in the event of disputes.
11 Authorised Users
Business Users may permit Authorised Users to access the Services and remain responsible for ensuring all Authorised Users comply with these Terms. Business Users remain liable for all activities of Authorised Users. Kahunas may suspend or remove access for any Authorised User who violates these Terms.
Business Users represent and warrant that each Authorised User (including any team member, sub-coach, or other staff member granted access to Client data) accesses and processes Client data solely as part of, and under the authority, direction, and instruction of, the Business User's business, and not as an independent controller of that data. The Business User is the sole Data Controller of all Client data within its Account. Business Users are responsible for putting appropriate employment, contractor, confidentiality, and data protection obligations in place with each Authorised User before granting access, and remain fully responsible and liable for their Authorised Users' acts and omissions in relation to Client data as though they were the Business User's own. Business Users shall not use any team, staff, or multi-coach functionality to grant access to Client data to any individual who is not genuinely part of the Business User's business or acting under its authority. Where a Business User wishes to enable access for a person or entity that acts as an independent controller of its own clients, the Business User is responsible for establishing an appropriate lawful basis and data-sharing arrangement; Kahunas' team and staff-access features are not intended for that purpose.
12 Subscriptions and Fees
Access to the Services may require payment of subscription fees as described on the Kahunas website, within the Services, or in an applicable Order Form. By purchasing a subscription, you agree to pay all applicable fees. All fees are payable in advance and are non-refundable except where expressly stated or required by applicable law.
13 Free Trials
Kahunas may offer free trial subscriptions. Unless cancelled before the end of the applicable trial period, a free trial may automatically convert into a paid subscription using the payment method provided during registration. Kahunas may modify, withdraw, or terminate free trials at any time.
14 Billing and Payment
Business Users must provide accurate billing information and maintain a valid payment method. Subscription fees renew automatically unless cancelled. If payment cannot be processed, Kahunas may suspend access, restrict functionality, terminate the subscription, or recover unpaid fees through lawful means. Business Users remain responsible for all applicable taxes, duties, and levies.
15 Cancellation and Renewals
Subscriptions renew automatically at the end of each Subscription Term unless cancelled via account settings or by contacting Kahunas support. Cancellation requests must be received at least 48 hours before the end of the current Subscription Term. Where not received in time, the subscription will renew and fees will become payable. Subscription fees are non-refundable unless otherwise required by law or expressly agreed by Kahunas. Cancellation does not relieve Business Users of obligations accrued prior to the effective cancellation date.
16 Client Payments
Where the Services enable Business Users to collect payments from Clients, the Business User remains solely responsible for pricing, invoicing, taxes, refunds, cancellations, chargebacks, payment disputes, service delivery, and compliance with consumer protection laws. Kahunas is not a payment processor and is not a party to any Client transaction. Payment disputes shall be resolved solely between the Business User and the Client.
17 Data Protection and Privacy
Kahunas processes personal data in accordance with its Privacy Policy, incorporated into these Terms by reference. Business Users are responsible for ensuring all personal data uploaded to the Services has been collected lawfully and that Clients receive appropriate privacy notices before data is collected or processed.
Where a Client or data subject submits a data subject access request (DSAR) against a Business User, the Business User remains responsible for responding. Kahunas will use reasonable efforts to assist where required and will endeavour to respond to privacy enquiries directed to Kahunas within 30 days of receipt.
Archived Clients. A Business User may archive a Client through the Services. Kahunas retains an archived Client's data for up to 12 months from the date the Business User archives the Client. If the Client has not been restored by the end of that period, Kahunas deletes the Client's data in accordance with the Data Retention Policy. Archiving a Client does not extend the retention period for the Client's data. A Client who is already archived when this version of these Terms takes effect is deleted 12 months after their original date of archiving, but no earlier than 90 days after the effective date of this version. Before the 12-month period ends, a Business User may request an export of an archived Client's data through the Services. The export is sent only to the Client and is not provided to the Business User. Kahunas notifies the Business User and the Client 30 days before an archived Client's data is deleted. Business Users are responsible for restoring any Client who should remain active before the period ends.

18 Controller and Processor Roles
Kahunas acts as Data Controller when processing personal data for account administration, subscription management, billing, fraud prevention, security monitoring, analytics, legal compliance, and marketing communications.
Where a Business User uploads or manages Client data through the Kahunas Platform, the Business User acts as Data Controller and Kahunas acts as Data Processor. Business Users are solely responsible for establishing a lawful basis, obtaining consent, providing privacy notices, and responding to data subject requests. The Kahunas Data Processing Addendum sets out the parties' respective obligations in respect of this processing and is incorporated into these Terms by reference.
The Business User remains the single Data Controller in respect of all Client data within its Account, including where it grants access to team members, sub-coaches, or other Authorised Users, who act under the Business User's authority and instruction and not as independent controllers.
19 Health Data
The Kahunas Platform may enable collection and processing of Health Data including fitness, nutrition, body measurements, sleep and recovery data, heart rate, blood pressure, blood glucose, activity, wellbeing, stress indicators, readiness metrics, and wearable device data.
Health Data may constitute sensitive personal data or special category data under applicable law. Business Users are solely responsible for ensuring all required consents are obtained, all required disclosures are provided, and that processing is lawful. Kahunas reserves the right to restrict, suspend, or terminate access where Health Data is processed unlawfully.
The Kahunas Health Data Policy sets out how Kahunas handles Health Data, including the categories and sources of Health Data, the consent model, automated health scores, and applicable safeguards, and is incorporated into these Terms by reference.
20 Artificial Intelligence Features
The Kahunas Platform may include AI Features such as AI-generated coaching recommendations, programme suggestions, summaries, content, automated analyses, predictive insights, conversational assistants, automated scoring, and personalised recommendations.
Business Users acknowledge that AI outputs may be inaccurate, incomplete, contain errors, be misleading, or be inappropriate for a specific individual. Business Users remain solely responsible for reviewing, validating, and approving all AI-generated outputs before relying upon them or communicating them to Clients. AI Features are intended to support Business Users and are not intended to replace professional judgement.
21 AI Training and Model Improvement
Kahunas may use aggregated, anonymised, or de-identified information to improve the Services, develop new functionality, train algorithms, and enhance analytics and user experience. Kahunas shall not use Health Data or special category personal data for AI training purposes where explicit consent is required by law unless such consent has been obtained.
22 Automated Health Scores and Insights
The Kahunas Platform may generate automated health, recovery, readiness, sleep, stress, nutrition, activity, or performance scores. Business Users acknowledge that such scores are generated using automated systems and are informational only; they are not medical advice, diagnoses, treatment recommendations, or healthcare services; and they may be inaccurate and may not reflect an individual's actual condition. Business Users are solely responsible for determining how scores are interpreted, communicated, and used.
23 Medical and Healthcare Disclaimer
Kahunas is not a healthcare provider. Neither the Kahunas Platform nor any AI Features are intended to diagnose, treat, cure, or prevent disease, provide emergency care, provide medical treatment, or replace healthcare professionals. All health, fitness, wellness, or performance information provided through the Services is for informational purposes only. Business Users shall not represent that Kahunas provides healthcare services. Neither the Kahunas Platform nor any AI Feature is a medical device or regulated as such; health metrics processed through the Platform, including heart rate, blood oxygen (SpO2), and activity data, are consumer-grade estimates, and Business Users shall not represent to Clients that the Platform provides medical-grade measurement, monitoring, or alerts.
24 Third-Party Services and Integrations
The Kahunas Platform may integrate with third-party services including Apple Health, Health Connect, Google Fit, Garmin, Fitbit, Oura, Polar, Whoop, YouTube, Vimeo, Stripe, messaging providers, analytics providers, and AI providers. Third-party services are governed by their own terms and privacy policies. Kahunas is not responsible for the availability, functionality, accuracy, security, or privacy practices of third parties. Integrations may be modified, suspended, or removed without notice.
25 Subprocessors
Kahunas may engage subprocessors covering hosting, cloud infrastructure, storage, authentication, messaging, customer support, payment processing, analytics, content delivery, AI, monitoring, and security. A current list of subprocessors is maintained through the Privacy Policy. Appropriate safeguards will be implemented for international data transfers where required by law.
26 User Content
Business Users retain ownership of all User Content. Nothing in these Terms transfers ownership to Kahunas. By uploading User Content, Business Users grant Kahunas a worldwide, non-exclusive, royalty-free, transferable licence to host, store, reproduce, process, transmit, display, back up, analyse, and modify where technically necessary, solely for the purpose of providing, maintaining, securing, and improving the Services.
Business Users represent and warrant that:
- They own or control all rights necessary to upload User Content
- User Content does not infringe third-party rights
- User Content complies with applicable law and is not unlawful, defamatory, fraudulent, harmful, abusive, obscene, or misleading
27 Client Content
Business Users remain responsible for ensuring Client Content is collected, stored, processed, and used lawfully, and that Clients have received all required notices and disclosures. Kahunas does not routinely review, verify, monitor, or approve Client Content and is not responsible for its accuracy or completeness.
28 Intellectual Property Rights
Kahunas and its licensors retain all right, title, and interest in the Kahunas Platform and Services, including all software, source code, algorithms, AI models, interfaces, trademarks, logos, designs, documentation, business methods, and know-how. Business Users must not copy, reproduce, modify, or create derivative works; reverse engineer, decompile, or disassemble; scrape data, access source code, or remove proprietary notices; attempt to replicate functionality; or use the Services to develop competing products. All rights not expressly granted are reserved.
29 Feedback
By providing feedback, suggestions, ideas, comments, or bug reports, Business Users grant Kahunas a perpetual, irrevocable, worldwide, royalty-free licence to use, reproduce, modify, distribute, and commercialise such feedback without restriction or compensation. Kahunas is not obligated to implement feedback.
30 Acceptable Use
Business Users shall not, and shall not permit any Authorised User or Client to, violate applicable laws or infringe intellectual property rights; upload malicious code, transmit viruses, or distribute malware; engage in phishing, fraudulent activity, spam, or unlawful data collection; harass, abuse, or impersonate others; interfere with the Services or attempt unauthorised access; conduct security testing without permission; scrape data; or use the Services for illegal purposes or to develop competing products. Kahunas may investigate suspected violations and take appropriate action including suspension or termination.
31 Confidentiality
Each party may receive confidential information from the other relating to business operations, technology, software, product plans, financial information, pricing, customer information, and technical documentation. Each party agrees to protect Confidential Information using reasonable care, use it only as necessary, and restrict disclosure to personnel with a need to know. Confidentiality obligations survive termination.
32 Service Availability
Kahunas will use commercially reasonable efforts to make the Kahunas Platform available. The Services may be unavailable due to maintenance, upgrades, security incidents, third-party outages, infrastructure failures, force majeure events, or technical issues. Kahunas does not guarantee uninterrupted, error-free, or continuous operation.
33 Beta Features
Kahunas may provide beta, preview, or experimental functionality ("Beta Features") for evaluation purposes only. Beta Features may contain errors, be incomplete, modified, discontinued, or withdrawn at any time, and are provided "AS IS" without warranties. Kahunas has no obligation to continue, support, or commercialise Beta Features.
34 Security
Kahunas implements commercially reasonable technical and organisational measures including encryption, access controls, authentication, monitoring, backup, disaster recovery, and vulnerability management. No system can be guaranteed completely secure. Business Users remain responsible for securing their own devices and credentials, managing authorised access, maintaining internal security controls, and promptly notifying Kahunas of any suspected compromise.
35 Suspension
Kahunas may suspend access immediately where payment is overdue or these Terms are breached; unlawful activity, misuse, or security risks arise; required by law; or necessary to protect Kahunas, users, Clients, or third parties. Suspension does not relieve Business Users of payment obligations. Kahunas shall not be liable for losses arising from lawful suspension.
36 Termination
Kahunas may terminate immediately where Business Users materially breach these Terms, fees remain unpaid, unlawful or fraudulent conduct occurs, or continued use creates legal, regulatory, operational, reputational, or security risk. Business Users may terminate by cancelling their subscription per Section 15. Termination does not affect accrued rights or obligations.
37 Effect of Termination
Upon termination, access to the Services may cease and all licences granted terminate; unpaid fees become immediately due; Business Users must cease using the Services. Data retention and deletion timelines following termination are governed by the Kahunas Data Retention Policy, available at compliance@kahunas.io. Business Users are responsible for exporting data prior to termination where export functionality is available. Kahunas has no obligation to maintain data access indefinitely following termination. Provisions intended to survive termination shall remain in effect.
38 Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. KAHUNAS DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AVAILABILITY, SECURITY, AND PERFORMANCE. BUSINESS USERS ASSUME ALL RISK ARISING FROM THEIR USE OF THE SERVICES.
39 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, KAHUNAS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, GOODWILL, BUSINESS, OR DATA. KAHUNAS' TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE TOTAL FEES PAID DURING THE THREE (3) MONTHS PRECEDING THE CLAIM. KAHUNAS HAS NO LIABILITY FOR COACHING ADVICE, TRAINING PROGRAMMES, NUTRITION RECOMMENDATIONS, CLIENT INJURIES, PROFESSIONAL MALPRACTICE, AI-GENERATED OUTPUTS, OR AUTOMATED HEALTH SCORES. NOTHING IN THESE TERMS EXCLUDES OR LIMITS EITHER PARTY'S LIABILITY FOR DEATH OR PERSONAL INJURY CAUSED BY ITS NEGLIGENCE, FOR FRAUD OR FRAUDULENT MISREPRESENTATION, OR FOR ANY OTHER LIABILITY THAT CANNOT LAWFULLY BE EXCLUDED OR LIMITED.
40 Indemnification
Business Users agree to defend, indemnify, and hold harmless Kahunas, its affiliates, officers, directors, employees, contractors, licensors, and subprocessors from any claims, liabilities, damages, costs, fines, and expenses arising out of or relating to: use of the Services, User Content, or Client Content; services provided to Clients; violation of these Terms, applicable law, or third-party rights; failure to obtain required consents or privacy law violations; professional advice, reliance upon AI outputs or health scores; personal injury claims; or regulatory investigations. Kahunas reserves the right to assume control of any defence. Business Users shall cooperate fully.
41 Governing Law
These Terms are governed by and construed in accordance with the laws of the United Arab Emirates. The application of conflict of law principles that would result in the application of the laws of another jurisdiction is expressly excluded.
42 Dispute Resolution
Parties shall use good-faith efforts to resolve disputes before commencing formal proceedings. A party raising a dispute must provide written notice describing the nature of the dispute, relevant facts, and relief sought. Parties shall attempt resolution for at least 30 days. Unresolved disputes shall be submitted to the exclusive jurisdiction of the Dubai Courts (excluding DIFC Courts) unless otherwise required by applicable law. This does not limit Kahunas' right to seek urgent injunctive or protective relief. To the maximum extent permitted by law, neither party may bring a claim arising out of or relating to these Terms more than twelve (12) months after the date on which it became aware, or ought reasonably to have become aware, of the facts giving rise to the claim; this limitation does not apply to liability that cannot lawfully be limited, to claims for unpaid fees, or to a party's indemnification obligations.
43 Changes to These Terms
Kahunas may amend these Terms to reflect changes in law, the Services, new features, security requirements, or operational needs. Material changes will be notified by email, in-app notification, or website notice. The most current version governs. Continued use after the effective date constitutes acceptance. If a Business User does not agree to revised Terms, they must discontinue use and cancel their subscription.
44 Assignment
Business Users may not assign, transfer, delegate, sublicense, or otherwise dispose of any rights or obligations without Kahunas' prior written consent. Any purported unauthorised assignment is void. Kahunas may freely assign its rights and obligations including in connection with mergers, acquisitions, asset sales, or changes of control.
45 Force Majeure
Kahunas shall not be liable for delay or failure to perform resulting from circumstances beyond its reasonable control, including natural disasters, pandemics, war, terrorism, governmental actions, internet or telecommunications failures, cloud infrastructure failures, cyberattacks, or failures of third-party service providers.
46 Severability
If any provision is held invalid, unlawful, void, or unenforceable, that provision shall be enforced to the maximum extent permitted. Remaining provisions continue in full force. Where necessary, an invalid provision shall be modified to achieve as closely as possible the original commercial intention.
47 No Waiver
Failure or delay by Kahunas in exercising any right or remedy shall not operate as a waiver. Any waiver must be in writing and signed by an authorised representative. A waiver of any breach shall not constitute a waiver of any subsequent breach.
